Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("Customer" or "you") and CloudBerry Route Pte Ltd ("CloudBerry Route," "we," "us," or "our") regarding your use of our digital archiving services and website.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Description of Services

CloudBerry Route provides digital archiving and data management services including:

  • Cloud-based data archiving and storage solutions
  • Data backup and recovery services
  • Compliance and regulatory support
  • Technical consulting and support
  • Website and documentation access

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration and Security

Account Creation

To access our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Implementing appropriate security measures for your systems

4. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

  • Upload, store, or transmit illegal, harmful, or malicious content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to our systems
  • Use our services to spam, harass, or harm others
  • Reverse engineer or attempt to extract source code
  • Interfere with the operation of our services

5. Data Ownership and Responsibilities

Your Data

You retain all rights, title, and interest in your data. We do not claim ownership of any content you upload or store using our services.

Data Responsibilities

You are responsible for:

  • The accuracy, quality, and legality of your data
  • The means by which you acquired your data
  • Ensuring you have necessary rights to store and process your data
  • Complying with applicable data protection laws

Data Processing

We will process your data in accordance with our Privacy Policy and applicable data protection laws, including Singapore's Personal Data Protection Act (PDPA).

6. Service Levels and Availability

Service Level Agreement

We strive to maintain 99.9% uptime for our services. Service credits may be available for sustained outages as detailed in your service agreement.

Maintenance

We may perform scheduled maintenance that may temporarily affect service availability. We will provide reasonable advance notice of planned maintenance.

Support

Technical support is available during Singapore business hours (9 AM - 6 PM SGT) via email and phone. Emergency support is available 24/7 for critical issues.

7. Payment Terms

Fees and Billing

Service fees are detailed in your service agreement. Unless otherwise specified:

  • Fees are billed monthly in advance
  • All fees are in Singapore Dollars (SGD)
  • Payment is due within 30 days of invoice date
  • Late payments may incur additional charges

Taxes

Fees are exclusive of applicable taxes, which will be added to your invoice as required by law.

Refunds

Refunds are generally not available for services already rendered. Specific refund terms may be outlined in your service agreement.

8. Intellectual Property Rights

Our Rights

CloudBerry Route and our licensors own all rights to our services, software, documentation, and related intellectual property.

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

Feedback

Any feedback, suggestions, or ideas you provide to us may be used by CloudBerry Route without restriction or compensation.

9. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information received from the other party, including:

  • Technical information and specifications
  • Business strategies and plans
  • Customer data and information
  • Pricing and financial information

This obligation survives termination of these Terms.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We shall not be liable for indirect, incidental, special, or consequential damages
  • We shall not be liable for loss of profits, data, or business opportunities
  • These limitations apply regardless of the legal theory of liability

11. Indemnification

You agree to indemnify and hold harmless CloudBerry Route from any claims, damages, losses, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of applicable laws
  • Infringement of third-party rights by your data or activities

12. Termination

Termination by You

You may terminate your account at any time with 30 days' written notice. You remain responsible for all fees incurred through the termination date.

Termination by Us

We may terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in prohibited activities
  • Create security or legal risks

Effect of Termination

Upon termination, you will lose access to our services and your data. We will provide 30 days for data retrieval unless termination was due to breach.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, cyber attacks, or other unforeseeable events.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Singapore courts.

15. Modifications to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Providing 30 days' advance notice of material changes
  • Obtaining your consent for significant modifications

Continued use of our services after modifications constitutes acceptance of the updated Terms.

16. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force. No waiver of any term or condition shall be deemed a further or continuing waiver.

17. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and CloudBerry Route regarding the subject matter herein.
